Hitch Platform Terms of Use

These Terms of Use ("Terms") govern access to and use of the Hitch platform, including related
websites, applications, borrower and broker/loan officer portals, APIs, and services (collectively,
the "Platform"). "Hitch," "we," "us," and "our" refer to Hitch, Inc. "You" and "your" refer to any
person or entity that accesses or uses the Platform.

By accessing or using the Platform, you agree to these Terms. If you are using the Platform on
behalf of a company or other entity, you represent that you have authority to bind that entity, and
"you" refers to that entity.

  1. The Platform
    The Platform provides tools for loan prequalification, application intake, document collection,
    verification, and related workflows. The Platform may integrate with third-party services for
    identity verification, credit reporting, income verification, property valuation, LOS/CRM syncing,
    messaging, and payments or disbursements.
    Hitch is not a lender. Any loan product, credit decision, or underwriting determination is made by
    the applicable lender, broker, or other financial institution (a "Lending Partner"), not by Hitch.

  2. Eligibility and Accounts
    You must be at least 18 years old and capable of forming a binding contract to use the Platform.
    To access features, you may be required to create an account or be invited by a Lending
    Partner. You agree to provide accurate information and keep it up to date. You are responsible
    for all activity under your credentials.

  3. Authorized Use and Restrictions
    You may use the Platform only for lawful purposes and in compliance with these Terms and
    applicable laws. You agree not to:

  • Attempt to access, probe, or test the security of the Platform or any related system.

  • Reverse engineer, decompile, or otherwise attempt to derive source code, except as
    permitted by law.

  • Misuse the Platform to submit false, misleading, or fraudulent information.

  • Upload malicious code or interfere with Platform operations.

  • Use the Platform to violate any third-party rights or privacy.

We may suspend or terminate access for violations or suspected misuse.

4. Applications, Consents, and Verification
When you submit information through the Platform, you authorize Hitch and the applicable
Lending Partner to:

  • Verify your identity and information through third-party services and data sources.

  • Obtain credit reports and other consumer reports, including soft and hard credit inquiries
    where permitted and with required consent.

  • Verify income and employment through third-party services.

  • Obtain property valuation data and related reports.
    You acknowledge that verification services may be provided by third parties and that additional
    terms may apply.

  1. Electronic Signatures and Disclosures
    You consent to the use of electronic records and signatures. Disclosures, notices, and
    agreements may be presented electronically and are legally binding. If you do not consent to
    electronic delivery, you may be unable to use the Platform.

  2. Communications and Messaging
    You consent to receive communications from Hitch and Lending Partners by email, phone calls,
    and SMS/text messages (including automated or prerecorded calls) at the contact information
    you provide. Message and data rates may apply. You can opt out of marketing texts by replying
    STOP, and request help by replying HELP. Transactional and application-related messages may
    continue as permitted by law.

  3. Third-Party Services
    The Platform may integrate with third-party services such as credit bureaus, income verification
    providers, bank data providers, identity verification services, AVM/appraisal vendors, LOS
    systems, and messaging providers . Your use of these services may be subject to their terms
    and privacy policies. Hitch is not responsible for third-party services or their actions.

  4. User Content and Documents
    You may upload documents and other content ("User Content"). You represent that you have
    the right to provide User Content and that it is accurate. You grant Hitch and Lending Partners a
    non-exclusive license to host, use, process, and share User Content as needed to provide the
    Platform and fulfill lending-related services.

  5. Privacy
    Our collection and use of personal information is described in our Privacy Policy, which is
    incorporated by reference. You agree that Hitch may process your data as described in the
    Privacy Policy and may share data with Lending Partners and service providers to provide the
    Platform.

  6. Fees
    If any fees apply, they will be disclosed before you are charged. You authorize us or our service
    providers to charge the payment method you provide for any approved fees.

  7. Intellectual Property
    The Platform and all related materials are owned by Hitch or its licensors and protected by
    intellectual property laws. You receive a limited, non-exclusive, revocable license to use the
    Platform as permitted by these Terms.

  8. Disclaimers
    THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT
    PERMITTED BY LAW, HITCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED,
    INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
    NON-INFRINGEMENT. HITCH DOES NOT GUARANTEE THAT THE PLATFORM WILL BE
    UNINTERRUPTED, SECURE, OR ERROR-FREE.

  9. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, HITCH WILL NOT BE LIABLE FOR
    INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR
    LOSS OF PROFITS, DATA, OR GOODWILL. HITCH'S TOTAL LIABILITY FOR ANY CLAIM
    RELATING TO THE PLATFORM WILL NOT EXCEED ONE HUNDRED US DOLLARS
    (US$100), UNLESS A DIFFERENT LIMITATION IS REQUIRED BY LAW.

  10. Indemnification
    You agree to indemnify and hold harmless Hitch and its affiliates from any claims, damages,
    liabilities, and expenses arising from your use of the Platform, your User Content, or your
    violation of these Terms.

  11. Termination
    We may suspend or terminate access to the Platform at any time for any reason, including if you
    violate these Terms. Upon termination, your right to use the Platform ends and certain sections
    of these Terms survive.

  12. Modifications
    We may update these Terms from time to time. We will post the updated Terms and update the
    effective date. Continued use of the Platform after changes take effect constitutes acceptance.

  13. Dispute Resolution and Arbitration
    If you have a dispute with Hitch, please contact us first to attempt resolution. If not resolved, and
    to the extent permitted by law, any dispute arising out of or relating to these Terms or the
    Platform will be resolved by binding arbitration on an individual basis, and you waive any right to
    a jury trial or class action. This section does not prevent either party from seeking injunctive
    relief for intellectual property misuse.

  14. Governing Law
    These Terms are governed by the laws of the State of California, without regard to conflict of law
    principles, unless another jurisdiction is required by law.
